By accessing or using this website, submitting an enquiry, requesting a quotation, or placing an order with GRS Global Railway Supply, you acknowledge that you have read and agree to be legally bound by these Terms, together with any additional terms, conditions, or policies referenced herein or communicated to you in writing.

If you do not agree to these Terms, you must immediately cease use of this website and must not submit any enquiry or order.

GRS Global Railway Supply ("GRS", "we", "us", or "our") is a railway aftermarket parts sourcing and supply business headquartered in China. We specialise in the sourcing, supply, and where applicable, manufacturing of replacement and maintenance parts for locomotives, freight wagons, passenger coaches, and railway infrastructure.

Our services are directed at business customers including railway operators, maintenance and repair organisations (MROs), rolling stock workshops, and railway parts distributors operating across international markets.

These Terms apply to business-to-business (B2B) transactions only. We do not supply to private individuals for personal use.

You may use this website solely for lawful purposes and in accordance with these Terms. You agree not to:

• Use this website in any way that violates applicable local, national, or international law or regulation.
• Transmit any unsolicited or unauthorised advertising, promotional material, or spam.
• Attempt to gain unauthorised access to any part of this website, its server, or any database connected to it.
• Reproduce, duplicate, copy, or re-sell any part of this website in contravention of the provisions of these Terms.
• Introduce any viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material.

We reserve the right to suspend or terminate access to this website for any user who violates these conditions, without notice and without liability.

All product enquiries submitted through this website or via our contact channels constitute an invitation to receive a quotation and do not constitute a binding order or contractual commitment on either party.

A binding agreement between you and GRS is only formed when: (a) we issue a written quotation or proforma invoice; and (b) you provide written acceptance of that quotation, including agreed payment terms; and (c) we confirm acceptance of your order in writing.

GRS reserves the right to decline any enquiry or order at its sole discretion, including where the requested parts fall outside our supply capability, export restrictions apply, or we are unable to verify the legitimacy of the requesting organisation.

Quotations issued by GRS are valid for the period stated on the quotation document. Where no validity period is stated, quotations expire 30 days from the date of issue. Prices are subject to change without notice prior to order confirmation.

GRS supplies railway aftermarket and replacement parts across a range of categories including, but not limited to: locomotive engine components, crankshafts, AAR couplers and buffers, side frames and bolsters, bogie and truck components, brake systems and brake shoes, suspension springs, center plates, rail turnouts and fastening systems, rubber components, train seats, casting parts, and small tamping machines.

Product descriptions, images, and technical data published on this website are provided for general information purposes only. While we endeavour to ensure accuracy, we do not warrant that product descriptions or other content on this website are complete, accurate, or free of errors.

For custom, non-standard, or manufactured-to-specification parts, the agreed technical specification set out in the confirmed written order shall govern. It is the buyer's responsibility to verify that supplied parts are suitable for their intended application prior to installation or use.

Where parts are described as complying with AAR or UIC standards, such compliance relates to the manufacturing specification of those parts. GRS does not independently certify parts unless stated in writing on the relevant order documentation.

All prices are quoted in the currency specified on the quotation or proforma invoice. Unless otherwise stated, prices are exclusive of all applicable taxes, duties, import charges, and freight costs, which are the responsibility of the buyer.

Payment terms are as agreed in writing at the time of order confirmation. GRS typically requires a deposit prior to production or procurement, with the balance due before shipment, unless alternative terms have been agreed in writing.

GRS reserves the right to suspend or cancel an order where payment obligations are not met within the agreed timeframe. Any costs incurred by GRS as a result of non-payment, including but not limited to production, procurement, or storage costs, may be charged to the buyer.

Delivery timelines, Incoterms, and shipping arrangements are agreed on a per-order basis and confirmed in writing. Estimated lead times provided are indicative only and are not guaranteed delivery dates.

Risk of loss or damage to goods passes to the buyer in accordance with the Incoterms agreed on the confirmed order. GRS is not liable for delays caused by freight carriers, customs authorities, port congestion, force majeure events, or any other circumstances beyond our reasonable control.

The buyer is responsible for all import duties, customs clearance, and compliance with the import regulations of the destination country. GRS will provide commercially standard export documentation.

Upon receipt of goods, the buyer must inspect the shipment promptly and notify GRS in writing of any shortages, damage, or discrepancies within seven (7) business days of delivery. Failure to notify within this period may limit the buyer's right to claim.

To the maximum extent permitted by applicable law, GRS Global Railway Supply, its officers, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or service interruption, arising out of or in connection with your use of this website or any products supplied by GRS.

In no event shall GRS's total aggregate liability to you for all claims arising out of or relating to a specific order exceed the total amount paid by you to GRS under that specific order.

Nothing in these Terms shall limit or exclude GRS's liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.

You agree to indemnify, defend, and hold harmless GRS Global Railway Supply and its officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of this website or any GRS products or services;
• Your violation of these Terms;
• Your violation of any applicable law or the rights of any third party;
• The installation, use, or integration of GRS-supplied parts by you or your organisation.

All transactions are subject to applicable export control laws and regulations, including those of the People's Republic of China and the destination country. By placing an order, you represent and warrant that:

• You are not located in, or acting on behalf of a person or entity located in, a country subject to applicable trade sanctions;
• You will comply with all applicable import, export, and re-export laws of the destination country;
• You will obtain all necessary import licences and permits required for the goods to be delivered to your country.

GRS reserves the right to refuse or cancel any order where fulfilment would, in our reasonable assessment, violate applicable export control or sanctions laws.

When you submit an enquiry or contact us through this website, we collect the business contact information you provide (such as your name, company name, country, and enquiry details) for the sole purpose of responding to your enquiry and managing any resulting business relationship.

We do not sell, rent, or share your personal data with third parties for marketing purposes. We may share your data with logistics providers, freight forwarders, or payment processors where necessary to fulfil a confirmed order.

By submitting an enquiry, you consent to GRS retaining your contact information and using it to follow up on your enquiry and any subsequent orders. You may request deletion of your data at any time by contacting us through our contact page.

Confirmed orders are governed by the version of these Terms in effect at the time of order confirmation, unless we agree otherwise in writing.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

In the event of any dispute arising out of or relating to these Terms or any transaction between the parties, the parties shall first attempt to resolve the dispute through good-faith negotiations. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to arbitration.

Any arbitration shall be conducted in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with the seat of arbitration in China. The arbitration shall be conducted in English. The arbitral award shall be final and binding on both parties.

Nothing in this section shall prevent either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm.
